1

What is the MIAG MVD?

MIAG is a wholly-owned subsidiary of the METRO group, providing services along the invoice chain to support your business growth with METRO. One of these services is the MIAG Vendor Discounting (MVD) service, which allows early payment of approved invoices at competitive rates.

2

Why is MIAG offering this program?

As the supply chain finance arm of METRO, MIAG aims to strengthen the METRO supply chain and enable access to early, non-recourse payments and new funding opportunities by freeing up internal credit limits to support the growth of your METRO business.

3

Is there any additional documentation or checking process needed?

MIAG conducts an internal check before suppliers join the program. MIAG reserves the right to add other credit checking steps, which may be required in certain jurisdictions due to regulatory changes. A usual KYC-procedure is necessary with our financing partner Societe Generale Factoring. To apply for the MVD, please contact us depending on the entity you are delivering to:

METRO S.A.S France : mvd.fr@miag.com

METRO Cash & Carry Nederland B.V. : nl@miag.com

Rotterdam Trading Office B.V. : rto@miag.com

4

How can I get started?

As a METRO supplier, you can enroll in this program to discount your approved invoices and take advantage of competitive financing rates. A MIAG Services Contract (MSC) is a condition to enroll in MVD and to profit from all other MIAG services. For more information on the MSC, please contact us depending on the entity you are delivering to:

METRO S.A.S France : mvd.fr@miag.com

METRO Cash & Carry Nederland B.V. : nl@miag.com

How much will it cost?

6

Who pays me?

Societe Generale Factoring will make payments to you for discounted invoices. All non-discounted invoices will be paid as usual by MIAG. There will be no need to change your bank account details.

7

What is EURIBOR and does the rate change?

Euribor, short for Euro Interbank Offered Rate, is based on the average interest rates at which a large panel of European banks borrow funds from one another. There are different maturities, ranging from one week to one year, whereas in our program the EURIBOR3M will be applied as a base rate.

8

Why is the factoring rate advantageous?

The applied interest rate is advantageous for the suppliers because it is based on METRO France / MIAG’s financial risk and its solvability.

9

What is the impact on my balance sheet?

You can accelerate the payments, reducing your DSO (days sales outstanding) and most importantly, improve your cash flow.

10

How does this program differ from factoring?

With traditional factoring, a supplier initiates an arrangement to finance all its receivables. Reverse factoring is a financing solution initiated by the buyer to help its suppliers to finance their receivables more easily and at a lower interest rate. Only invoices you select for financing will be paid out in advance.

11

How can I book the discounting fee in my accounting?

We are not allowed to give accounting advice and would kindly ask you to check with your accountant. Typically, suppliers record it as interest expense in their income statement.

12

My receivables are already factored. Can I use the program?

Yes, if you carve out your METRO receivables for the more favorable terms under this program. Societe Generale Factoring needs an attestation from the factor that the METRO receivables are excluded from their existing factoring contract.

13

Is there a maximum/minimum number of invoices or amount I am required to finance through the platform? How much can I finance?

There is no limit on the value or number of invoices you can finance through the platform. However, it is based on your current receivables and any additional settings visible on the platform. The minimum total discounting amount is EUR 1’000.

14

Do I have to sell all my receivables?

You are not obliged to sell your receivables. Your invoice will be paid via MIAG at due date. However, you can still benefit from the visibility of your invoices, and use MIAG Vendor Discounting (MVD) web portal for reporting and reconciliation purposes.

15

Does the financing take into account the Net or Gross amount?

The amount financed corresponds to the total amount of the receivable, including VAT.

16

How quickly is the requested funding actually paid into my account? What is the invoice confirmation / approval time?

For any request for financing validated before 3pm, the reception of the funds is done within 24h. If the request for funding is made after 3pm, it will be processed the next day. The confirmation time depends on the quality of the issued invoices and the invoicing procedure.

17

Is it possible to finance invoices that are not visible on the platform?

Only the invoices on the platform, ie the approved receivables , can be financed. Funding requests can be made up to 5 business days before the scheduled invoice deadline.

18

What are the benefits of participating in this program?

Participating in this program can bring you many benefits, such as improved cash flow, reduced DSO (days sales outstanding) and more favorable financing terms. It also allows you to strengthen your relationship with METRO and access new funding opportunities.

19

What is the payment process?

Once you Discount Request and the selected invoices are approved, Société Générale Factoring will make the payment directly to your bank account. There will be one payment per beneficiary bank account, independent of the number of invoices/requests made.
